IND MCA issued gazette that notifies of the Companies (registration offices and fees) amendment rules 2025, regarding filing an application with Registrar of Companies.
Follows IND MCA Feb. 2024 published Companies amendment rules, 2024, #202287.
Outline of Amendments
Revised Form GNL-1 to automate and establish application process for compounding offenses, extending the time for the annual general meeting, approving merger plans.
The updated form requires detailed disclosures re the type of default, the parties involved, the duration of the default, corrective actions taken, ongoing investigations.
Relevant reference numbers and dates shall be described in applications submitted.
Companies requesting an extension to hold their annual general meeting (AGM) must detail the financial year-end date, statutory AGM due date, proposed extended date.
Company records must obtain a certification from practicing professional/chartered accountant/company secretary/cost accountant, to verify the accuracy of submission.
Effectiveness
The amendment rules shall take effect from Jul. 14, 2025.
